Settle and Paradigm agree to merge to create new housing association

Paradigm Homes Charitable Housing Association Limited (the Issuer)

£300,000,000 5.25 per cent. Secured Sustainability Bonds due 2044; and

£350,000,000 2.25 per cent. Secured Bonds due 2051

(the Bonds)

Settle Group and Paradigm Housing Group have agreed to merge to form a new organisation operating primarily across Buckinghamshire, Hertfordshire and Bedfordshire.

The new organisation, initially known as SettleParadigm, will become the largest housing association operating in the region. The target completion date for the legal merger is 27 October 2025.

Both Boards decided to proceed with the merger after considering a detailed business case, information gathered through due diligence, and feedback from a six-week consultation with residents of both organisations.

This decision is a key milestone in the journey towards the merger, which was initially announced in March. A shadow Board and Executive team has already been appointed to lead the new organisation.

Paradigm also announced in March that it was in discussions about buying 3,500 homes in South Buckinghamshire from L&Q and these negotiations are at an advanced stage. It is hoped that arrangements can be formalised over the next few weeks, and then Paradigm will support L&Q in its consultation with residents.

Paradigm Housing Group is a housing association with almost 17,000 homes mainly in Buckinghamshire, Bedfordshire and Hertfordshire. Settle Group has over 10,000 homes across Hertfordshire, Bedfordshire, Buckinghamshire and South Cambridgeshire.

More than 2,600 Settle and Paradigm residents responded to the formal consultation on the merger proposals, with around 80% of residents feeling either positive or neutral about the proposals.

The new organisation will focus on improving services for existing residents, delivering more affordable homes and investing in local communities.
