Exercise of Warrants, Total Voting Rights

Bezant (AIM: BZT), the copper-gold exploration and development company, announces:

Issue of new shares upon exercise of warrants: Pursuant to the exercise of warrants at a price of 0.04p per share in terms of the fundraising announced on 24 December 2024 the Company is issuing a total of 8,000,000 fully paid ordinary shares of 0.002p each in the Company ("Ordinary Shares")  (the "Warrant Exercise Shares"). The Warrant Exercise Shares will rank pari passu with the existing ordinary shares in the Company.

Application to trading on AIM: Application will be made to the London Stock Exchange for the Warrant Exercise Shares to be admitted to trading on AIM. It is expected that Admission will become effective and that dealings in the New Ordinary Shares will commence at 8.00 a.m. on or around 17 September 2025.

Issued Share Capital: Following the issue of the Warrant Exercise Shares and the Consultancy Fee Shares, the Company's total issued share capital will consist of 16,188,654,126 Ordinary Shares with voting rights. The Company does not hold any Ordinary Shares in treasury and accordingly there are no voting rights in respect of any treasury shares. 

Total Voting Rights On Admission, the above mentioned figure of 16,188,654,126 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Bezant under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
