Pricing of Issue of Notes

Zug, Switzerland and Amsterdam, The Netherlands - 20 February 2024 - Further to the announcement earlier today, Coca-Cola HBC Finance B.V. (the "Issuer") and Coca-Cola HBC AG ("Coca-Cola HBC") announce the pricing of a €600 million aggregate principal amount of 3.375% Notes due 2028, to be issued by the Issuer under its €5,000,000,000 Euro Medium Term Note Programme.

The Notes will be guaranteed by Coca-Cola HBC.

This announcement must be read in conjunction with the Base Prospectus dated 19 December 2023, as supplemented on 15 February 2024 (the "Base Prospectus"), which constitutes a base prospectus for the purposes of Regulation (EU) 2017/1129 as it forms part of domestic law in the United Kingdom by virtue of the European Union (Withdrawal) Act 2018, as amended.

Application will be made for the Notes to be admitted to the Official List of the Financial Conduct Authority and to trading on the Regulated Market of the London Stock Exchange plc. Settlement and the issue of the Notes are expected to occur on 27 February 2024.
