Completion of Acquisition and Cancellation of Admission

Windward (LSE: WNWD), a leading Maritime AI™ company, is pleased to announce that the Acquisition has become effective following receipt of the merger certificate from the Israeli Companies Registrar in accordance with the Israeli Companies Law. Cancellation of the Company's shares from admission to trading on AIM will therefore become effective at 7.00 a.m. tomorrow, 19 March 2025.

Following completion of the Acquisition, the Company is now a wholly-owned subsidiary of Octopus UK Bidco Limited.

Capitalised terms used in this announcement have the meaning given to them in Windward's announcement of 24 December 2024, unless the context requires otherwise.
